Common use of Applicable Law, Venue and Jurisdiction Clause in Contracts

Applicable Law, Venue and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of laws principles, rules or statutes of any jurisdiction. The parties irrevocably agree that all actions to enforce an arbitrator’s decision pursuant to Section 20 of this Agreement may be instituted and litigated in federal, state or local courts sitting in Santa Xxxxx County, California and each of such parties hereby consents to the jurisdiction and venue of such court, waives any objection based on forum non conveniens and any right to a jury trial as set forth in Section 19 of this Agreement.
