Applicable Law; Jurisdiction; Waiver of Jury Trial. (a) This Agreement shall be governed by, and construed and enforced in accordance with, the Legal Requirements of the State of Delaware, regardless of the Legal Requirements that might otherwise govern under applicable principles of conflicts of laws thereof.
