Annual Statement as to Compliance. The Servicer shall deliver to the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (a) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 2000, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end March 15th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2006, an Officer's Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Indenture Trustee, the Insurer, the Residual Certificateholders and each the Rating Agency Agencies, on or before 90 days after the end March 15 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning March 15, 2005, an Officer's ’s Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year (or such shorter period as is applicable in the case of the first report) and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (bii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 2003 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

The Servicer shall deliver to the Trustee and each Rating Agency on or before 90 Within ninety (90) days after the end of the Servicer's fiscal yearyear end, commencing beginning with its 2001 the fiscal yearyear end 2005, the Servicer will deliver to the Purchaser an Officer's Certificate stating, as to the signer thereof, stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the if performance of the Servicer under this Agreement has been made under such officer's supervision, and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof and the action being taken by the Servicer to cure such default.

(a) The Servicer shall Servicer, at its own expense, will deliver to the Trustee Trustee, the Certificate Insurer, Standard & Poor's and each Rating Agency Moody's, on or before 90 days after the end last day of the Servicer's fiscal December of each year, commencing with its 2001 fiscal yearin 1998, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, officers' supervision and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such defaults.

Annual Statement as to Compliance. The Servicer shall deliver to the Trustee Depositor, the Trustee, and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2002, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

The Servicer shall Servicer, at its own expense, will deliver to the Trustee and the Depositor, not later than March 15th of each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearin 2005, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year (or such shorter period in the case of the first such report) and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end August 15th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2002, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Seller, the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2001, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

The Servicer shall Servicer, at its own expense, will deliver to the Master Reporting Agent, the Trustee and the Depositor, not later than March 15th of each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearin 2004, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year (or such shorter period in the case of the first such report) and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

The Servicer shall deliver to the Trustee Seller, the Trustee, MBIA and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2001, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

(a) The Servicer shall will deliver to the Seller, the Trustee and each the Rating Agency Agencies, on or before 90 days after the end March 15 of the Servicer's fiscal each year, commencing beginning with its 2001 fiscal yeardelivery on March 15, 2004, an Officer's ’s Certificate stating, as to the signer thereof, stating that (a) a review of the activities of the Servicer during the preceding calendar fiscal year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (b) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall promptly notify the Seller, the Trustee and each Rating Agency upon any change in the basis on which its fiscal year is determined.

Annual Statement as to Compliance. The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end March 10th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2005, an Officer's Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

The Within ninety (90) days after the Servicer’s fiscal year end, beginning with the fiscal year end 2002, the Servicer shall will deliver to the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal year, Purchaser an Officer's ’s Certificate stating, as to the signer thereof, stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the if performance of the Servicer under this Agreement has been made under such officer's ’s supervision, and (b) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof and the action being taken by the Servicer to cure such default.

The Servicer shall promptly notify the Seller, the Trustee and each Rating Agency upon any change in the basis on which its fiscal year is determined.

(a) The Servicer shall will deliver to the Trustee Seller, the Master Servicer and each the Rating Agency Agencies, on or before 90 days after the end March 15 of the Servicer's fiscal each year, commencing beginning with its 2001 fiscal yeardelivery on March 15, 2006, an Officer's ’s Certificate stating, as to the signer thereof, stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (b) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such calendar year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall promptly notify the Seller, the Master Servicer and each Rating Agency upon any change in the basis on which its fiscal year is determined.

The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end March 10th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2006, an Officer's Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Depositor, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 2001, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor, the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2004, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Seller, the Trustee, the Certificate Insurer and each the Rating Agency Agencies, on or before 90 days after the end March 15 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning March 15, 2003, an Officer's ’s Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (bii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall promptly notify the Seller, the Trustee and each Rating Agency upon any change in the basis on which its fiscal year is determined.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Seller, the Trustee, the Certificate Insurer and each the Rating Agency Agencies, on or before 90 days after the end May 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning May 31, 2002, an Officer's Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall promptly notify the Seller, the Trustee and each Rating Agency upon any change in the basis on which its fiscal year is determined.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Depositor, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 2002, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

The Servicer shall deliver to the Company, the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2003, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

Annual Statement as to Compliance. The Servicer shall (a) Each Servicer, at its own expense, will deliver to the Trustee Trustee, the Seller, the Depositor and each the Rating Agency Agencies on or before 90 days after the end April 15 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearin 1998, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the such Servicer during the such preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the such Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer and the nature and status thereofthereof including the steps being taken by such Servicer to remedy such defaults.

Annual Statement as to Compliance. The Servicer shall deliver to the Seller and the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with in its 2001 2000 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. The Servicer shall will deliver to the Company, the Trustee and each the Rating Agency Agencies on or before 90 days after the first day of the fifth month following the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearinitially November 1, 1999, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall notify the Trustee in the event of a change in the Servicer's fiscal year.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor, the Paying Agent and the Trustee and each Rating Agency on or before 90 days after the end Report Date occurring in May of the Servicer's fiscal each year, commencing with its 2001 fiscal yearin May 2001, an Officer's Certificate stating, as to the signer thereof, that (aA) a review of the activities of the Servicer during the preceding calendar year or portion thereof and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bB) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement in all material respects throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall forward a copy of each such statement to the Rating Agencies.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 2001, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall Servicer, at its own expense, will deliver to the Trustee Trustee, the Depositor and each the Rating Agency Agencies, on or before 90 days after the end March 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearin 1998, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

The Each Servicer shall deliver to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 120 days after the end of the such Servicer's fiscal year, commencing with in its 2001 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the such Servicer during the preceding calendar year and of the performance of the such Servicer under this Agreement has been made under such officer's supervision, and (bii) to the best of such officer's knowledge, based on such review, the such Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof and the action being taken by such Servicer to cure such default.

The Servicer shall deliver to the Company, the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending December 31, 2004, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Trustee, the Seller and each Rating Agency Agency, on or before 90 days after the end September 30 of the Servicer's fiscal each year, commencing beginning with its 2001 fiscal yearSeptember 30, 2002, an Officer's Certificate stating, as to of the signer thereof, Servicer substantially in the form set forth in Exhibit F hereto stating that (a) a review of the activities of the Servicer during the preceding calendar year (or since the Closing Date in the case of the first such statement) and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such yearyear (or since the Closing Date in the case of the first such statement), or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Each Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end April 15 of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2003, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the such Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the such Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall (a) Beginning in 2005, the Servicer, at its own expense, will deliver to the Trustee Trustee, the NIMS Insurer and the Depositor, not later than March 15th of each Rating Agency on or before 90 days after the end of the Servicer's fiscal calendar year, commencing with its 2001 fiscal year, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Depositor, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 2002, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's ’s fiscal year, commencing with its 2001 2002 fiscal year, an Officer's ’s Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (bii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such year, or, if there has been a material default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Trustee, the SBA and each the Rating Agency on or before 90 days after the end September 30 of the Servicer's fiscal yeareach year beginning September 30, commencing with its 2001 fiscal year1998, an Officer's Certificate stating, as to the signer thereof, stating that (ai) the Servicer has fully complied with the provisions of Articles V and VII, (ii) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, and (biii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereofthereof and the action being taken by the Servicer to cure such default.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 the fiscal yearyear in which the Initial Cut-off Date occurs, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. (a) The Servicer shall Servicer, at its own expense, will deliver to the Trustee and the Depositor, not later than March 15 of each Rating Agency on or before 90 days after the end of the Servicer's fiscal yearyear commencing in 2006, commencing with its 2001 fiscal year, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during such preceding fiscal year (or such shorter period in the preceding calendar year case of the first such report) and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with in its 2001 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof and the action being taken by the Servicer to cure such default.

Annual Statement as to Compliance. (a) The Servicer shall deliver to the Trustee and each Rating Agency a firm of independent certified public accountants, on or before 90 days after March 31 of each year commencing March 31, 1998, a certificate signed by the end chairman of the board, the president, the treasurer, the controller, any executive or senior vice president or any vice president of the Servicer's fiscal year, commencing with its 2001 fiscal year, an Officer's Certificate stating, as to the signer thereof, stating that (a) a review of the activities of the Servicer during the year ended the preceding calendar year December 31 and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations in all material respects under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end October 15 of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2003, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Indenture Trustee, the Insurer and each the Rating Agency Agencies, on or before 90 days after the end March 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning March 31, 2001, an Officer's Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year (or such shorter period as is applicable in the case of the first report) and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Indenture Trustee, the Collateral Agent, the Rating Agencies, the Note Insurer and each Rating Agency Noteholder, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, 1999, an Officer's Certificate stating, as to of the signer thereof, Servicer stating that (a) a review of the activities of the Servicer during the preceding calendar year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall (a) Each Servicer, at its own expense, will deliver to the Trustee and each Rating Agency on or before 90 the Depositor, not later than 60 days after following the end of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal year, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the such Servicer during the such preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the such Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by such Servicer to remedy such default.

Annual Statement as to Compliance. The Servicer shall will deliver to the Company, the Trustee and each the Rating Agency Agencies on or before 90 days after the first day of the fifth month following the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearinitially November 1, 2002, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall notify the Trustee in the event of a change in the Servicer's fiscal year.

Annual Statement as to Compliance. The Each Servicer shall deliver to the Depositor, the Rating Agencies, and the Trustee and each Rating Agency on or before 90 120 days after the end of the such Servicer's fiscal year, commencing with in its 2001 2002 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the such Servicer during the preceding calendar year and of the performance of the such Servicer under this Agreement has been made under such officer's supervision, and (bii) to the best of such officer's knowledge, based on such review, the such Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof and the action being taken by such Servicer to cure such default.

Annual Statement as to Compliance. The Servicer shall and shall cause any subservicers to deliver to the Trustee and each Rating Agency Owner on or before 90 [60] days after the end of the Servicer's ’s fiscal year, commencing with its 2001 [200_] fiscal year, an Officer's ’s Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (bii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Owner shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. The Servicer shall Servicer, at its own expense, will deliver to the Trustee Trustee, the Depositor, the Certificate Insurer, any Owner of a Class B Certificate and each the Rating Agency Agencies, on or before 90 days after the end March 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearin 2000, an Officer's Certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee and each Rating Agency Trustee, on or before 90 days after the end March 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning March 31, 2006, an Officer's Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar year (or portions thereof or, in the case of the first such certificate, during the period from the date of this Agreement to December 31, 2005) and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such yearperiod, or, or if there has been a material default in the fulfillment of any such obligationobligations, specifying each such material default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2001, an Officer's Certificate stating, as to the signer thereof, that (a) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee and each Rating Agency --------------------------------- Company, on or before 90 days after the end December 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning December 31, 1998, an Officerofficer's Certificate stating, certificate stating as to the signer each signatory thereof, that (a) a review of the activities of the Servicer during the preceding calendar year (or during the period from the date of execution of this Agreement until the end of the preceding calendar year in the case of the first such certificate) and of the performance of the Servicer under this Agreement has been made under such officer's supervision, ; and (b) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such yearperiod, or, or if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. (a) The Servicer shall will deliver to the Trustee Seller, the Trustee, the Certificate Insurer and each the Rating Agency Agencies, on or before 90 days after the end May 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning May 31, [____], an Officer's Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its material obligations under this Agreement throughout such fiscal year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Servicer shall promptly notify the Seller, the Trustee and each Rating Agency upon any change in the basis on which its fiscal year is determined.

Annual Statement as to Compliance. The Servicer shall will deliver to the Trustee Trustee, the SBA and each the Rating Agency on or before 90 days after the end March 31 of the Servicer's fiscal yeareach year beginning March 31, commencing with its 2001 fiscal year1999, an Officer's Certificate stating, as to the signer thereof, stating that (ai) the Servicer has fully complied with the provisions of Articles V and VII, (ii) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, and (biii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereofthereof and the action being taken by the Servicer to cure such default.

Annual Statement as to Compliance. The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end April 15th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2003, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor, the Issuer and the Indenture Trustee and each Rating Agency on or before 90 days after the end [ ] of the Servicer's fiscal each applicable year, commencing with its 2001 fiscal yearin [ ], an Officer's ’s Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, ’s supervision and (bii) to the best of such officer's ’s knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such year, or, if there has been a material default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Indenture Trustee shall forward a copy of each such statement to each Rating Agency.

The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies and the Trustee and each Rating Agency on or before 90 days after the end August 15 of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2002, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement or a similar agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Trustee and Depositor, each Rating Agency and the Trustee on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 fiscal yearyear ending on December 31, 2001, an Officer's Certificate Certificate, signed by two officers of the Servicer, stating, as to the signer signers thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, officers' supervision and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies, the Unaffiliated Seller and the Trustee and each Rating Agency on or before 90 days after the end March 15th of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2004, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 1998 fiscal year, an Officer's Certificate Certificate, signed by 2 officers of the Servicer, stating, as to the signer signers thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, officers' supervision and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. (a) The Servicer shall Servicer, at its own expense, will deliver to the Trustee and the Depositor, not later than March 15 of each Rating Agency on or before 90 days after the end of the Servicer's fiscal yearcalendar year commencing in 2004, commencing with its 2001 fiscal year, an a Servicing Officer's Certificate certificate stating, as to the each signer thereof, that (ai) a review of the activities of the Servicer during the such preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout for such year, or, if there has been a default in the fulfillment of any all such obligationobligations, specifying each such default known to such officer officers and the nature and status thereofthereof including the steps being taken by the Servicer to remedy such default.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 200__ fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such year, or, if there has been a material default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. The Servicer shall deliver to the Seller, the Trustee and each Rating Agency on or before 90 days after the end of the Servicer's fiscal year, commencing with in its 2001 fiscal yearyear ending December 31, 2001, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereofthereof except for such defaults as such officer in his or her good faith judgment believes to be immaterial.

Annual Statement as to Compliance. The Each Servicer shall deliver to the Trustee Issuer and each Rating Agency the Indenture Trustee, on or before 90 days after the end April 30 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning April 30, an Officer's Certificate stating2000, as to the signer a statement, signed by a Servicing Officer thereof, stating that (a) a review of the activities of the such Servicer during the preceding calendar year (or during the period from the date of commencement of its duties hereunder until the end of such preceding calendar year in the case of the first such certificate) and of the its performance of the Servicer under this Servicing Agreement has been made under such officerServicing Officer's supervision, ; and (b) to the best of such officerServicing Officer's knowledge, based on such review, the such Servicer has fulfilled all of its material obligations under this Servicing Agreement throughout such yearperiod, or, or if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer Servicing Officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 2002 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

Annual Statement as to Compliance. The Each Servicer shall deliver to the Trustee (and the Trustee will forward to the Trustee, the NIMS Insurer and each Rating Agency on or before 90 days after Agency), no later than March 20 following the end of the Servicer's fiscal year, each calendar year commencing with its 2001 fiscal yearMarch 2006, an Officer's Certificate stating, as to the signer thereof, that (a) a review of the activities of the such Servicer during the preceding calendar year and of the performance of the such Servicer under this Agreement has been made under such officer's supervision, and (b) to the best of such officer's knowledge, based on such review, the such Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.

Annual Statement as to Compliance. The Servicer shall deliver to the Depositor and the Trustee and each Rating Agency on or before 90 120 days after the end of the Servicer's fiscal year, commencing with its 2001 2004 fiscal year, an Officer's Certificate stating, as to the signer thereof, that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year and of the performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof. The Trustee shall forward a copy of each such statement to each Rating Agency.

The Servicer shall will deliver or cause to be delivered to the Depositor, the Rating Agencies, the Unaffiliated Seller, the Class A-1 Certificate Insurer, and the Trustee and each Rating Agency on or before 90 days after the end March 1 of the Servicer's fiscal each calendar year, commencing with its 2001 fiscal yearin 2004, an Officer's Officers' Certificate stating, as to the signer each signatory thereof, that (ai) a review of the activities of the Servicer during the preceding calendar year and of the performance of the Servicer under this Agreement has been made under such officer's officers' supervision, and (bii) to the best of such officer's officers' knowledge, based on such review, the Servicer has fulfilled all of its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer officers and the nature and status thereof.

Annual Statement as to Compliance. (a) The Servicer shall deliver to the Trustee Trustee, the Credit Enhancer and each the Rating Agency Agencies, on or before 90 days after the end May 31 of the Servicer's fiscal each year, commencing with its 2001 fiscal yearbeginning May 31, 2000, an Officer's Certificate stating, as to the signer thereof, stating that (ai) a review of the activities of the Servicer during the preceding calendar fiscal year (or such shorter period as is applicable in the case of the first report) and of the its performance of the Servicer under this Agreement has been made under such officer's supervision, supervision and (bii) to the best of such officer's knowledge, based on such review, the Servicer has fulfilled all of its material obligations under this Agreement throughout such year, fiscal year or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof.
