Annual Rating Review. (a) So long as any Class of Notes remains Outstanding (and the Commitment Period Termination Date has not occurred), on or before December 31 in each year commencing in 2006, the Co-Issuers shall obtain and pay for an annual review of the rating of each Class of Notes from each Rating Agency.
