Common use of Annual Officer’s Certificate as to Compliance Clause in Contracts

Annual Officer’s Certificate as to Compliance. Not later than July 1 every year, beginning with July 1, 2015, the Issuer shall deliver to the Trustee a certificate (which need not comply with Section 12.05 of this Indenture) executed by the principal executive officer, principal financial officer or principal accounting officer of the Issuer as to such officer’s knowledge of the Issuer’s compliance with all conditions and covenants under this Indenture, such compliance to be determined without regard to any period of grace or requirement of notice provided under this Indenture.

Not later than July 1 every Within 120 days after the end of its fiscal year, beginning with July 1, 2015, the Issuer Issuers shall deliver to the Trustee a certificate (which need not comply with Section 12.05 ‎Section 12.04 of this Indenture) executed by the principal executive officer, principal financial officer or principal accounting officer of the Issuer Company as to such officer’s knowledge of the Issuer’s Issuers’ compliance with all conditions and covenants under this Indenture, such compliance to be determined without regard to any period of grace or requirement of notice provided under this Indenture.
