Annual Forecast. For operational forecast purposes only, unless the Purchaser otherwise submits to the Supplier on or before 1st June in each calendar year a non-binding annual forecast of its quarterly volume requirements set out on a month by month basis for each SUMF Item for the forthcoming calendar year and estimates of its volume requirements for each SUMF Item for the following three (3) calendar years, the Supplier shall use the prior year's volume forecast for SUMF Items and estimates of volume requirements for the forthcoming year and three (3) subsequent years. The Purchaser shall update any such forecast on or before September 1st of each year to provide its actual forecast.

Annual Forecast. By July 1st of each Contract Year of this Agreement, the Client shall provide Patheon a yearly volume projection for Drug Product. To the extent that Patheon reasonably determines that the projections contained in that yearly volume forecast necessitate that an adjustment be made to the Fees for such Contract Year, Patheon shall, within 30 days of receipt by Patheon of the yearly forecast, be entitled to request an appropriate price adjustment. Annual Forecast. To the extent that Patheon determines that the projections contained in the rolling forecast provided pursuant to Section 5.1(a) necessitate that an adjustment be made to the Manufacturing Services fees in respect of any Product for such Year, then Patheon shall be entitled to an appropriate price adjustment to pass on the increase in the cost of providing the Manufacturing Services which is attributable to the changes in the rolling forecast projections.
Annual Forecast. Furnish to Bank, in form and detail reasonably satisfactory to Bank, not later than 30 days after the close of each fiscal year of Borrower, a forecast of the income and expense and balance sheet changes of Borrower for the succeeding fiscal year presented on a month-by-month and year-to-date basis and accompanied by a narrative summary of material assumptions.

Annual Forecast. Within sixty (60) days following the end of each Fiscal Year of Borrower, an annual forecast for the forthcoming fiscal year, which shall include, without limitation, (i) a projected consolidated balance sheet and statements of income, retained earnings and cash flows of Borrower, and (ii) a projected balance sheet and statements of income, retained earnings and cash flows of the Subsidiary Entities, each accompanied by a written explanation of material changes to or variances from prior projections.
Annual Forecast. As soon as available, and in any event within thirty (30) days after the end of each Fiscal Year, an updated forecast for the Borrower and its Subsidiaries for the forthcoming fiscal year on a month by month basis, in form and detail reasonably acceptable to the Lender. In the event the Borrower materially revises any forecast previously delivered to the Lender, Borrower will promptly deliver such revised forecast to the Lender.
Annual Forecast. Not later than one hundred and twenty (120) days after the beginning of each fiscal year of the Borrower, commencing with the fiscal year beginning on January 1, 2020, an annual cash flow and capital expenditure forecast for the Borrower and its Restricted Subsidiaries for such fiscal year, including the projected monthly production of Hydrocarbons by the Borrower and its Restricted Subsidiaries and the assumptions used in calculating such projections, the projected capital expenditures to be incurred by the Borrower and its Restricted Subsidiaries and projected cash flows, and such other information as may be reasonably requested by the Administrative Agent; it being understood that projections concerning volumes attributable to the Oil and Gas Properties of the Borrower and its Restricted Subsidiaries and production and cost estimates contained in such budgets and projections are necessarily based upon professional opinions, estimates and projections and that the Borrower and its Restricted Subsidiaries do not warrant that such opinions, estimates and projections will ultimately prove to have been accurate.
