Common use of Annual Compliance Certifications Clause in Contracts

Annual Compliance Certifications. (i) No later than March 15 of each calendar year, commencing with the year 200_, the Servicer shall, and shall cause each Subservicer to, at its own expense, deliver to the Depositor, the Seller, the Master Servicer, the Indenture Trustee and the Trust Administrator a servicer's certificate stating, as to each signer thereof, that (i) a review of the activities of such Person during such preceding fiscal year (or applicable portion thereof) and of performance of such Person under this Agreement, or in the case of a Subservicer the applicable Subservicing Agreement or primary servicing agreement, has been made under such officers' supervision, and (ii) to the best of such officers' knowledge, based on such review, such Person has fulfilled all its obligations under this Agreement, or in the case of a Subservicer the applicable Subservicing Agreement or primary servicing agreement, in all material respects throughout such year (or applicable portion thereof), or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such default known to such officers and the nature and status thereof including the steps being taken by the Servicer or Subservicer to remedy such default.
