An Alberta. Court would give a judgment in Canadian dollars at an exchange rate determined in accordance with Alberta Law based upon a final and conclusive IN PERSONAM judgment of a U.S. federal or New York State court located in the State of New York for a sum certain, obtained against the Company, Newco or the Partnership under the Underwriting Agreement, the Indenture, the Pledge Agreements, the Mirror Notes, the Mirror Note Guarantees or the Securities, as the case may be, without reconsideration of the merits.
