Common use of Amount Limitation Clause in Contracts

Amount Limitation. Except with respect to claims for breaches of representations or warranties contained in Sections 3.2 and 3.12.(a), an Indemnified Party shall only be entitled to indemnification under this Article 8 for breach of a representation or warranty for the aggregate of the Indemnifying Party's indemnification obligations to the Indemnified Party pursuant to this Article 8 in excess of Two Million Dollars ($2,000,000).

Amount Limitation. Except with respect to claims for breaches of representations or warranties contained in Sections 3.2 and 3.12.(a)3.22, an Indemnified Party shall only not be entitled to indemnification under this Article 8 9 for breach of a representation or warranty for (i) unless the individual claim exceeds $25,000, and (ii) only to the extent that the aggregate of all the Indemnifying Indemnified Party's individual indemnification obligations to the Indemnified Party pursuant to this Article 8 in excess of Two Million Dollars (claims exceeds $2,000,000)250,000.

Except with respect to claims for breaches of representations or warranties contained in Sections 3.2 and 3.12.(a)4.24 or 5.4, an Indemnified Party shall only not be entitled to indemnification under this Article 8 11 for breach of a representation or warranty for unless the aggregate of the Indemnifying Party's indemnification obligations to the Indemnified Party pursuant to this Article 8 11 (but for this Section 11.6.(b)) exceeds $400,000; and in excess such event, the Indemnifying Party shall be liable for indemnification only to the extent of Two Million Dollars ($2,000,000)the excess.
