AMG. At the Closing, AMG shall deliver or cause to be delivered to the appropriate party or parties: (i) the Services Agreement between the Audio Company and AMG in substantially the form attached hereto as Exhibit A (the “Audio Company Services Agreement”); (ii) certified copies of resolutions of its members authorizing the execution, delivery and performance by AMG of this Agreement, the Restructuring Agreements and the Other Agreements, which resolutions shall be in full force and effect at and as of the Closing; and (iii) such other documents and instruments as are required or appropriate to complete the DHC Restructuring and otherwise to perform its obligations to be performed hereunder at or before the Closing.
