Amendment to Section 6. 0405. The Section 6.05 of the Credit Agreement is hereby further ------------------------- amended by as follows: (i) By deleting the word "and" appearing immediately prior to clause following the semicolon in subsection (mh); (ii) of SectionBy inserting new subsections (j) and (k), which shall read in their entirety as follows:

Amendment to Section 6. 0405. The Section 6.05 of the Credit Agreement is hereby further ------------------------- amended by (a) deleting the word "and" appearing immediately prior to clause after the semicolon in paragraph (k) of such Section, (b) deleting the "." at the end of paragraph (l) of such Section and substituting in lieu thereof the text"; and" and (c) adding a new paragraph (m) of to such Section, to read in its entirety as follows:

Amendment to Section 6. 048. The Section 6.8 of the Credit Agreement is hereby further ------------------------- amended by (i) deleting the word "“and" appearing ” from Section 6.8(d), (ii) replacing the symbol “.” in Section 6.8(e) with the text “; and” and (iii) inserting the following text immediately prior to clause (m) of Sectionfollowing Section 6.8(e):

Amendment to Section 6. 0409. The Section 6.09 of the Credit Agreement is hereby further ------------------------- amended by (a) deleting the word "and" appearing in the twenty-seventh line and substituting in lieu thereof a comma and (b) adding at the end thereof and immediately prior to clause the period the following: "and (mix) of Sectionthe foregoing shall not apply to any prohibitions, restrictions and conditions contained in the documentation governing a Permitted Receivables Financing."

Amendment to Section 6. 0402 of the Credit Agreement. The -------------------------------------------------- Section 6.02 of the Credit Agreement is hereby further ------------------------- amended by deleting (a) inserting the word "and" appearing immediately prior to after the semicolon in the last line of clause (me) of such Section, (b) deleting the phrase "; and" from the last line of clause (f) of such Section and inserting in lieu thereof a period and (c) deleting paragraph (g) of such Section.

The Section 6.02 of the Credit Agreement is hereby further ------------------------- amended by (a) deleting the word "and" appearing immediately prior to clause at the end of paragraph (mk) thereof, (b) deleting the period at the end of Sectionparagraph (1) thereof and substituting "; and" therefor and (c) adding the following paragraph at the end thereof:
