Common use of Amendment to Section 13 Clause in Contracts

Amendment to Section 13. Section 13 of the Rights Agreement is hereby amended by adding to the end thereof the following: “Notwithstanding anything contained in this Section 13 to the contrary, the approval, execution, and delivery of the Merger Agreement and the consummation of the transactions contemplated thereby, including the Merger, shall be excluded and exempt from the operation of and will not trigger the provisions of this Section 13.”.

Amendment to Section 13. Section 13 of the Rights Agreement is hereby amended by adding to the end thereof the following: “Notwithstanding anything contained in this Section 13 to the contrary, the approval, execution, and delivery of the Merger Agreement and the consummation of the transactions contemplated thereby, including the Merger, shall be excluded and exempt from the operation of and will not trigger the provisions of this Section 13.”.

Section 13 of the Rights Agreement is hereby amended by adding to add the following sentence at the end thereof thereof: "Notwithstanding the following: “Notwithstanding anything contained in foregoing, the provisions of this Section 13 shall not apply to the contrary, the approval, execution, execution and delivery of the Merger Agreement and or the consummation of the transactions contemplated thereby, including the Merger, shall be excluded and exempt from the operation of and will not trigger the provisions of this Section 13.”."

Amendment to Section 13. Section 13 of the Rights Agreement is hereby amended and supplemented by adding the following sentence at the end thereof: Notwithstanding anything to the end thereof the following: “Notwithstanding anything contained contrary in this Section 13 to the contraryAgreement, the approval, execution, and delivery of the Merger Agreement and the consummation of the transactions contemplated thereby, including the Merger, shall be excluded and exempt from the operation of and will not trigger the provisions of Section 13 of this Section 13Agreement shall be deemed not to apply to the Merger.”.
