Amendment to NPA Clause Samples
Amendment to NPA. Subject to the satisfaction of the conditions precedent set forth in Section 2 below, each of the parties to the NPA agrees that Section 1.01 of the NPA is hereby amended by:
a) deleting the date "October 22, 2004" from the definition of "Purchase Expiration Date" and inserting "October 21, 2005" in lieu thereof; and
Amendment to NPA. Clause (e) of the definition of “Excluded Account” in Section 13.1 of the NPA is hereby amended and restated in its entirety as follows: “

Amendment to NPA. Effective as of the Amendment Effective Date the NPA is hereby amended to delete the stricken text (indicated textually in the same manner as the following example: stricken text) and to add the double-underlined text (indicated textually in the same manner as the following example: double-underlined text) as set forth in the pages of the Amended NPA attached as Annex I hereto.
Amendment to NPA. Ladies and Gentlemen: Reference is hereby made to that certain (a) Second Amended and Restated Note Purchase Agreement, dated as of October 26, 2020 (as amended, amended and restated, supplemented or otherwise modified from time to time, the “Purchase Agreement”), among J▇▇▇▇▇▇ Investment Group, LLC (“Purchaser”), Staffing 360 Solutions, Inc., a Delaware corporation (the “Company”), and certain subsidiaries of the Company signatory thereto (the “Subsidiary Guarantors”). Capitalized terms used in this letter agreement (this “Agreement”) and not otherwise defined shall have the meanings ascribed to such terms in the Purchase Agreement.
