AMENDMENT; SUPERSEDES PRIOR AGREEMENT. On the Effective Date, this Agreement supersedes and replaces in its entirety the Prior Agreement, which shall be void and of no force and effect on or after the Effective Date. This Agreement may be amended or cancelled by the Bank as provided in Section 1 hereof, or by mutual agreement of the parties in writing without the consent of any other person.
