Amendment Requires Mortgagee Consent. As the Mortgagee(s) will require assurances that this Agreement remains in place, the Parties agree that, once all or any part of Grantee’s interests hereunder are mortgaged or assigned to a Mortgagee, neither Grantee nor Grantor will modify or terminate this Agreement without prior consent of the Mortgagee(s); or, in the case of a monetary default hereunder, without first providing such Mortgagee(s) with written notice and an opportunity to cure such default as provided in Section 5.3 above and Section 7.4 below.
