Common use of Amendment of Section 29 Clause in Contracts

Amendment of Section 29. Section 29 of the Rights Agreement is amended by adding the following sentence at the end thereof: “Nothing in this Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable rights, remedies or claims under this Agreement by virtue of (i) the execution of the Letter Agreement or the Warrant or (ii) the consummation of the Transactions or any other transaction contemplated by the Letter Agreement or the Warrant.”

Amendment of Section 29. Section 29 of the Rights Agreement is hereby amended by adding the following sentence at to the end thereof: “Nothing in this Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable rights, remedies or claims under this Agreement by virtue of (i) the approval, execution or delivery of the Letter Merger Agreement or the Warrant or any related agreements, (ii) the consummation of the Transactions or Merger, (iii) the consummation of any of the other transaction transactions contemplated by the Letter Merger Agreement and related agreements or (iv) the Warrantpublic announcement of any of the foregoing.”

Amendment of Section 29. Section 29 of the Rights Agreement is hereby amended by adding to add the following sentence at the end thereof: “Nothing in this Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable rights, remedies or claims under this Agreement by virtue of (i) the execution approval, execution, delivery or performance of the Letter Merger Agreement or the Warrant Shareholders Agreement or (ii) the announcement or consummation of the Transactions or any other transaction transactions contemplated by thereby, in each case in accordance with, pursuant to and upon the Letter terms and conditions of the Merger Agreement or and the WarrantShareholders Agreement.”

Section 29 of the Rights Agreement is amended by adding the following sentence at the end thereof: “Nothing in this Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable rights, remedies or claims under this Agreement by virtue of (i) the execution of the Letter Purchase Agreement or the Warrant Repurchase Agreement or (ii) the consummation of the Transactions SBLF Transaction or any other transaction contemplated by the Letter Purchase Agreement or the WarrantRepurchase Agreement.”

Section 29 of the Rights Agreement is amended by adding the following sentence at the end thereof: “Nothing in this Rights Agreement shall be construed to give any holder of Rights or any other Person any legal or equitable rights, remedies or claims under this Rights Agreement by virtue of (i) the execution execution, delivery or approval of the Letter Agreement or the Warrant or (ii) the consummation of the Transactions or any other transaction contemplated by the Letter Agreement or the Warrant2009 Rights Agreement.”
