Amendment of CDCI Senior Subordinated Securities. Any amendment, alteration or repeal of any provision of this Agreement or of the form of the CDCI Senior Subordinated Securities or the Charter (including, unless no vote on such merger or consolidation is required by Section 5.12(c)(ii) below, any amendment, alteration or repeal by means of a merger, consolidation or otherwise) so as to adversely affect the rights, preferences, privileges or voting powers of the CDCI Senior Subordinated Securities;
