On and from the first date that the Administrative Agent shall have received counterparts of this Agreement duly executed by the Borrower and each Bank listed on the signature pages hereof, and that each of the following conditions in this SECTION 4.02 shall have been satisfied, the terms and conditions of the Existing Agreement shall be superseded and restated in their entirety by the terms and conditions of this Agreement and this Agreement shall take effect. This Agreement shall not constitute a novation, and the execution and delivery by the Borrower of this Agreement and the Notes is in substitution for, but not in payment of, the Borrower's obligations incurred under or evidenced by the Existing Agreement and the "Notes" delivered thereunder and as defined therein. The Administrative Agent shall give notice to the Borrower and to each Bank that the Amendment Effective Time has occurred. Each agreement, opinion or certificate described in this SECTION 4.02 shall be dated the date of the Amendment Effective Time (or an earlier date satisfactory to the Administrative Agent).
