Amendment Effective Clause Samples
The Amendment Effective clause defines when changes or modifications to an agreement become legally binding. Typically, this clause specifies that amendments only take effect once all parties have agreed in writing, and may require signatures or other formalities to confirm consent. By establishing a clear process and timing for amendments, this clause ensures that all parties are aware of and agree to any changes, thereby preventing disputes over unauthorized or unclear modifications.
Amendment Effective. This First Amendment will be effective when:
(a) this First Amendment has been duly executed and delivered by Borrower, the Administrative Agent, the Collateral Agent and the Lenders; and
(b) the Borrower has paid the reasonable fees and expenses of the Administrative Agent in connection with this First Amendment.
Amendment Effective. The parties hereto agree that (i) this Agreement amends and restates in its entirety the Original Credit Agreement and (ii) references to the “Credit Agreement” in the other Credit Documents shall be considered references to this Agreement. Notwithstanding the foregoing or any other provision hereof, this Agreement does not constitute a novation of the Original Credit Agreement or serve to terminate Section 11.12 of the Original Credit Agreement or any of Borrowers’ obligations thereunder.
Amendment Effective. This First Amendment shall become effective upon receipt by the Administrative Agent of fully executed counterparts to this First Amendment by the Borrower, the Guarantors and Required Lenders.

Amendment Effective. This Second Amendment or any modification, amendment or alteration thereto, shall not be effective or binding upon any of the parties hereto until it has been executed by all of the parties hereto.
