Amendment; Alteration. No amendment, change, --------------------- alteration, modification of, or addition to, this Agreement shall be effective unless in writing and properly executed by each of the parties hereto.
Amendment; Alteration. This Certificate of Designation may not be amended or varied by the Corporation or Stockholders unless the Holders of a majority of the issued and outstanding shares of Special Voting Preferred Stock consents to such amendment or variation.
