Common use of Allocation of Partial Prepayments Clause in Contracts

Allocation of Partial Prepayments. In the case of each partial prepayment of the Notes of any series pursuant to Section 8.2 or Section 8.3 hereof, the principal amount of the Notes of such series to be prepaid shall be allocated among all of the Notes of such series at the time outstanding in proportion, as nearly as reasonably practicable, to the respective unpaid principal amounts thereof not theretofore called for prepayment. All partial prepayments or purchases made pursuant to Section 8.6(b), Section 8.8 or Section 8.9 shall be applied only to the Notes of the holders who have elected to participate in such prepayment or purchase.
