The Agreements, together with the Restated Articles and Series A Preferred Stock Purchase Agreement dated as of April 22, 1999, contain all terms relating to the issuances of Series A Preferred Stock and Series B Preferred Stock and the relationships among the holders of such stock, except as set forth in the Schedule of Exceptions.
