All Other Assignments Null and Void. The terms of this Agreement shall be binding upon and shall inure to the benefit of the successors, heirs, administrators, and permitted assigns of the Parties. In the event of any permitted assignment by a Party of its rights and obligations under this Agreement, the permitted assignee shall assume all obligations of its assignor under this Agreement. Any purported assignment in violation of this Section 12.4 shall be null and void.
