AIR RESPONSE ENTITI▇▇ ▇▇▇▇▇▇. The Shareholders are the owners of the Air Response Entities Shares free and clear of any direct or indirect claims, liens, security interests, charges, pledges or encumbrances of any nature whatsoever and will be free of such claims, liens, security interests, charges, pledges or encumbrances as of the Effective Date. All of the Air Response Entities Shares are validly issued to the Shareholders fully paid and non-assessable. There are no existing options, calls, rights or commitments of any character relating to the Air Response Entities Shares or any Air Response Entities securities of any kind.
