Common use of Agreements with Employees Clause in Contracts

Agreements with Employees. (a) The Company shall require (i) all persons now or hereafter employed by the Company and (ii) all independent contractors utilized by the Company who have access to confidential or proprietary information of the Company to enter into agreements that include non-disclosure and assignment of inventions provisions and shall require all key employees now or hereafter employed by the Company to enter into agreements containing non-competition and non-solicitation provisions, each in such form as may be approved by the Board of Directors of the Company.

(a) The Company shall require (i) all persons now or hereafter employed by the Company and (ii) all independent contractors utilized by the Company who have access to confidential or proprietary information of the Company to enter into agreements that include non-disclosure and assignment of inventions provisions agreements in a form approved by the Board of Directors and shall require all key employees persons now or hereafter employed by the Company to enter into agreements containing non-competition and non-solicitation provisions, each agreements in such a form as may be approved by the Board of Directors of the CompanyDirectors.

(ai) The Company shall require (ix) all persons now or hereafter employed by the Company and (iiy) all independent contractors utilized by the Company who have access to confidential or proprietary information of the Company to enter into agreements that include non-disclosure nondisclosure and assignment of inventions provisions and shall require all key employees now or hereafter employed by agreements substantially in the Company form of Exhibit E-1 to enter into agreements containing non-competition and non-solicitation provisions, each in such form as may be approved by the Board of Directors of the CompanyPurchase Agreement.
