Common use of Agreements to Sell, Purchase and Resell Clause in Contracts

Agreements to Sell, Purchase and Resell. (a) The Company hereby agrees, subject to all the terms and conditions set forth herein, to issue and sell to the Initial Purchaser and, upon the basis of the representations, warranties and agreements of the Company herein contained and subject to all the terms and conditions set forth herein, the Initial Purchaser agrees to purchase from the Company, at a purchase price of 97% of the principal amount thereof, the principal amount of Notes set forth opposite the name of the Initial Purchaser in Schedule I hereto.

Agreements to Sell, Purchase and Resell. (a) The Company hereby agrees, subject to all the terms and conditions set forth herein, to issue and sell to the Initial Purchaser and, upon the basis of the representations, warranties and agreements of the Company herein contained and subject to all the terms and conditions set forth herein, the Initial Purchaser agrees to purchase the Notes from the Company, at a purchase price of 9796.875% of the principal amount thereof, the principal amount of Notes set forth opposite the name of the Initial Purchaser in Schedule I hereto.
