Agreements Are Legal and Authorized. The execution and delivery ----------------------------------- by the Company of this Agreement and the compliance by the Company with all of the provisions hereof and thereof (i) are within the corporate power of the Company, (ii) will not conflict with or result in any breach of any of the provisions of, or constitute a default under or result in the creation of any lien, charge or encumbrance upon any property of the Company (other than as contemplated by this Agreement and the Indenture) under the provisions of the Company's Certificate of Incorporation or Bylaws or any agreement or other instrument to which the Company is a party or by which it may be bound, or any license, judgment, decree, law, statute, order, rule or regulation of any court or governmental agency or body having jurisdiction over the Company or any of its activities or properties, and (iii) have been duly authorized by all necessary action on the part of the Company;
