Agreements and Covenants; Closing Deliverables. Sellers shall have performed or complied in all material respects with all agreements and covenants required by this Agreement to be performed or complied with by Sellers at or prior to the Effective Date. Sellers shall have delivered or caused to be delivered to Buyer all of the items specified in Schedule 2.3. All material written consents, assignments, waivers, or authorizations that are required as a result of the transactions contemplated by this Agreement shall have been obtained.

Agreements and Covenants; Closing Deliverables. Borrower shall have performed or complied in all material respects with all agreements and covenants required by or in this Agreement or the other Transaction Documents, the Schedules and Exhibits hereto, the certificates delivered hereunder, any transfer instrument, or any other certificate, document, writing or instrument delivered by Borrower pursuant to or otherwise in connection with the Transaction Documents to be performed or complied with by it at or prior to the Closing Date. Borrower shall have delivered or caused to be delivered to Buyer all the items specified in Schedule 2.3. All material written consents, assignments, waivers, or authorizations that are required to effect the Contemplated Transactions shall have been obtained.
