Agreements; Aggregation. (a) Heritage warrants that there are no material agreements, understandings, instruments, contracts, proposed transactions, judgments, orders, writs or decrees to which Cirilium is a party or by which Cirilium is bound which may involve obligations (contingent or otherwise) of, or payments to, Cirilium in excess of $5,000.00 (other than obligations of, or payments to, Cirilium arising from the ordinary course of business). (b) For the purposes of subsection (a) above, all indebtedness, liabilities, agreements, understandings, instruments, contracts and proposed transactions involving the same person or entity shall be aggregated for the purpose of meeting the individual minimum dollar amount set forth in such subsection.
