Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transaction contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Seller is a party or by which it is bound, the Articles of Incorporation and Bylaws of the Seller, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Seller is bound, or any law, rule or regulation applicable to the Seller.

The execution and delivery of this Agreement, the consummation of the transaction transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement or other instrument to which the Seller is a party or by which it is bound, the Articles of Incorporation and Bylaws of the Seller, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Seller is bound, or any law, rule or regulation applicable to the Seller.

The execution execution, delivery and delivery performance of this Agreement, Agreement and each of the agreements contemplated hereby by Buyer and the consummation of the transaction transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any agreement material agreement, indenture or other instrument to which the Seller Buyer is a party or by which it is bound, the Articles Buyer's Certificate of Incorporation and Bylaws of the Selleror Bylaws, any judgment, decree, order or award of any court, governmental body or arbitrator by which the Seller is boundarbitrator, or any law, rule or regulation applicable to the SellerBuyer.
