Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any material agreement, indenture or other instrument to which Buyer is a party or by which it is bound, Buyer's Certificate of Incorporation or Bylaws, any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyer.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any material agreement, indenture or other instrument to which Buyer is a party or by which it is bound, Buyer's Certificate Articles of Incorporation or Bylaws, any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyer.

Agreement Not in Breach of Other Instruments. The Neither the execution and delivery of this Agreement, nor the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not violate, or result in a breach of of, any of the terms or and provisions of, or constitute a default under, or conflict with, with (i) any material agreement, indenture or other instrument agreement to which Buyer the Company or any Shareholder is a party or by which it is bound, Buyer's Certificate ; (ii) the Articles of Incorporation or Bylaws, Bylaws of the Company; or (iii) any applicable judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyerthe Company or any Shareholder.

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby contemplated, and the fulfillment of the terms hereof hereof, will not result in a the breach of any of the terms term or provisions provision of, or constitute a default under, or conflict with, or cause the acceleration of any material agreementobligation under, indenture any agreement or other instrument of any description to which Buyer such Shareholder is a party or by which it such Shareholder is bound, Buyer's Certificate of Incorporation or Bylaws, any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyersuch Shareholder.

The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, (a) any material agreement, indenture or other instrument to which Buyer is a party or by which it is bound, ; (b) the articles of incorporation or bylaws of Buyer's Certificate of Incorporation or Bylaws, ; (c) any judgment, decree, order or award of any court, governmental body or arbitrator, arbitrator applicable to Buyer; or (d) any law, rule or regulation applicable to Buyer.

The execution execution, delivery and delivery performance of this Agreement, Agreement by Buyer and the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, any material agreement, indenture or other instrument to which Buyer is a party or by which it is bound, Buyer's Certificate Articles of Incorporation and Bylaws or Bylawsother governing instruments, any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyer.

The execution execution, delivery and delivery performance of this Agreement, Agreement and all other agreements and instruments to be executed by Buyer in connection herewith by Buyer and the consummation of the transactions contemplated hereby and the fulfillment of the terms hereof thereby will not result in a breach of any of the terms or provisions of, or constitute a default under, or conflict with, : any material agreement, indenture or other instrument to which Buyer is a party or by which it is bound, ; Buyer's Certificate of Incorporation or Bylaws, ; or any judgment, decree, order or award of any court, governmental body or arbitrator, or any law, rule or regulation applicable to Buyer.
