Common use of Agreement Not in Breach of Other Instruments Clause in Contracts

Agreement Not in Breach of Other Instruments. The execution and delivery of this Agreement by Buyer, the consummation by Buyer of the transactions contemplated hereby, and the fulfillment by Buyer of the terms hereof, will not violate any provision of the formation or operating documents of Buyer nor will they result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement, or other obligation of any description to which Buyer is a party or by which it is bound, or constitute a violation of Applicable Law.

The execution and delivery of this Agreement by BuyerAgreement, the consummation by Buyer of the transactions contemplated hereby, and the fulfillment by Buyer of the terms hereof, will not violate any provision of the formation or articles of organization and operating documents agreement of Buyer nor will they result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement, agreement or other obligation of any description to which Buyer is a party or by which it is bound, or constitute a violation any judgment, decree, order, or award of Applicable Lawany court, governmental body or arbitrator, or any applicable law, rule or regulation.

The execution and delivery of this Agreement by BuyerAgreement, the consummation by Buyer of the transactions contemplated hereby, and the fulfillment by Buyer of the terms hereof, will not violate any provision of the formation articles of incorporation or operating documents by-laws of Buyer nor will they result in the breach of any term or provision of, or constitute a default under, or conflict with, or cause the acceleration of any obligation under, any loan agreement, note, debenture, indenture, mortgage, deed of trust, lease, contract, agreement, agreement or other obligation of any description to which Buyer is a party or by which it is bound, or constitute a violation any judgment, decree, order, or award of Applicable Lawany court, governmental body, or arbitration or any applicable law, rule or regulation.
