Agreement Binding; Assignment. This Agreement shall be binding and deemed effective when executed by Debtor and accepted and executed by Bank. This Agreement shall bind and inure to the benefit of the respective successors and assigns of each of the parties; provided, however, that neither Bank nor Debtor may assign this Agreement or any rights hereunder without the other party’s prior written consent and any prohibited assignment shall be absolutely void. No consent to an assignment by Bank shall release Debtor or any guarantor from their obligations to Bank.
