After the Senior. Notes cease to be outstanding, a Subsidiary Guarantor will be released and relieved of any obligations under its Subsidiary Guarantee provided that such Subsidiary Guarantor is an Immaterial Subsidiary.
After the Senior. Facility Discharge Date and until the Second Lien Discharge Date, the Security Agent shall:
(a) exercise any right, power, authority or discretion vested in it as Security Agent in accordance with any instructions given to it by the Instructing Second Lien Agent (or, if so instructed by the Instructing Second Lien Agent refrain from exercising any right, power, authority or discretion vested in it as Security Agent); and
(b) not be liable for any act (or omission) if it acts (or refrains from taking any action) in accordance with an instruction of the Instructing Second Lien Agent under the Interim Facility Agreement.
