In the event Licensee terminates this Agreement in accordance with Section 9(b)(i) for its convenience, or if ORBCOMM terminates this Agreement pursuant to Section 9(b)(ii), Licensee hereby agrees that, for a period of two years from the date of such termination, it, its shareholders or the equivalent thereof and its Affiliates shall not engage or participate in, assist or have an interest in, directly or indirectly, the operation, management or conduct of any business or enterprise that provides or intends to provide satellite-based, two-way data communications or position determination services using radio frequencies below 1 GHz for communications directly between satellite(s) and subscriber communicators.
