Affiliated Institutions. Consultant hereby represents and warrants that he or she has the authority to enter into and perform this Agreement, and his or her performance hereunder will not result in the breach or violation of any contract, arrangement or understanding Consultant may have with any third party. Consultant has made any necessary disclosures and obtained any required approvals for the Consulting Services under this Agreement and associated Business Terms Exhibit. Consultant acknowledges that if his or her employer contacts Ironwood, Ironwood reserves the right to disclose the nature of the relationship contemplated by this Agreement, and any other information deemed relevant by Ironwood, without prior notification to or authorization by Consultant. Consultant agrees to be responsible to assure that the Consulting Services provided by him or her under this Agreement are in compliance with all applicable rules, regulations and policies of any employer or institution with which Consultant is affiliated, including and without limitation, rules and regulations requiring specific disclosure or record-keeping obligations. Consultant will promptly notify Ironwood if he or she believes that any of such Consulting Services are in violation of, or may reasonably be expected to become in violation of, any of such rules, regulations or policies. If Consultant is a member of the committee of any entity that sets formularies or develops clinical guidelines, Consultant shall, for the period of this Agreement and the next two year period, disclose to such committee the existence and nature of the services contemplated by this Agreement and agrees to follow any procedures set forth by such committee relative to services under this Agreement. Consultant agrees to fully disclose his or her relationship with Ironwood contemplated in this Agreement consistent with the requirements of any healthcare institution, medical committee, or other medical or scientific organization with which Consultant is affiliated. This obligation shall survive for a period of two years following the expiration or earlier termination of this Agreement.
Affiliated Institutions. Consultant shall provide the Services in compliance with all applicable rules, regulations and policies of any employer or institution with which he is affiliated, including, without limitation, rules and regulations requiring specific disclosure or record-keeping obligations. Consultant will promptly notify Forest if he believes that any of the Services are in violation of, or may reasonably be expected to violate, any such rules, regulations or policies. In addition, if Consultant is a member of a committee that sets formularies or develops clinical practice guidelines, he shall disclose the existence and nature of his relationship with Forest hereunder to such committee and agree to follow any applicable rules or procedures of such committee which may relate to such relationship. The provisions of this paragraph 11 shall survive the termination or expiration of this Agreement.
Affiliated Institutions. To exhibit the Programs as part of the Licensed Service(s) over the facilities of each Affiliated Institution in the Territory for reception [on one channel] of home type television sets located in rooms in such Affiliated Institution. Affiliated Institutions. A network of vital partners in clinical, research, and academic institutions across Boston and Cambridge collaborating in research and teaching. Prime Institution: Institution where research is performed and the source of funding for the billing agreement. Non-Grantee Institution: Institution where faculty/staff/trainee is employed. Key Personnel: When a Non-Grantee Principal Investigator/Employee is named as Key Personnel on the funding source & prior approval is required for effort reduction per the terms of the award. Budget Period: Period of performance covered under the billing agreement. Estimated Project Period: Estimated period of performance for researcher/staff between two institutions. New billing agreements are required for each budget period. Statement of Work: A brief description of the scope of work agreed upon by XX and Non-Grantee employee to be performed at the Prime Institution.

Affiliated Institutions. QuestPoint shall provide Customer with an addendum for execution by affiliates of Customer that desire to receive and to which QuestPoint agrees to provide Services under this Agreement. Notwithstanding the foregoing, QuestPoint has the right, but not the obligation, to rely solely upon Customer for the satisfaction or performance of this Agreement by the Customer and each Customer affiliate. Each Customer affiliate will also at all times be liable for its share of this amount due for the Services that are allocated to the affiliate and QuestPoint may enforce this Agreement against any affiliate directly for its pro rata share of any amounts due for Services and for any breach thereof.
Affiliated Institutions an institution relying on CTNeT’s cIRB and formally agreeing to participate in this reliance agreement, as evidenced by its inclusion in Appendix 1.1.
Affiliated Institutions. State University Construction Fund, the Research Foundation of the State University of New York, and the Xxxxxx X. Xxxxxxxxxxx Institute of Government, and educational opportunity centers. Other organizations, such as campus-related foundations and auxiliary service corporations located at SUNY facilities and which directly support the mission of the SUNY institutions, may be considered Affiliated Institutions under this Agreement upon prior written consent of SmartForce.
