Common use of Affiliate Interests Clause in Contracts

Affiliate Interests. Except as disclosed in Schedule 4.3(v), the Company is not a party to any transaction with (a) any Stockholder, (b) any employee, officer or director of the Company, (c) any relative of any Stockholder or of any such employee, officer or director, or (d) any entity, corporation or partnership that, directly or indirectly, is controlled by or under common control with any Stockholder or with any such employee, officer, director or relative, including without limitation any contract, agreement or other arrangement (i) providing for the furnishing of services by such person, (ii) providing for the rental of real or personal property from or to such person, (iii) providing for the guaranty of any obligation of such person, (iv) requiring any payment to such person which will continue beyond the Closing Date, or (v) establishing any right or interest of such person in any of the assets or rights of the Company.

Except as disclosed in Schedule 4.3(v), the The Company is not a party to any transaction with with: (a) Seller, any Stockholderemployee, officer or manager of the Company, (b) any employee, officer or director of the Company, (c) any relative of any Stockholder Seller or of any such employee, officer or directormanager, or (dc) any entity, corporation person or partnership entity that, directly or indirectly, is controlled by or under common control with any Stockholder Seller or with any such employee, officer, director manager, or relative, including without limitation any contract, agreement or other arrangement (i) providing for the furnishing of services by such personperson or entity, (ii) providing for the rental of real or personal property from or to such personperson or entity, (iii) providing for the guaranty of any obligation of such personperson or entity, (iv) requiring any payment to such person which or entity that will continue beyond the Closing DateClosing, or (v) establishing any right or interest of such person in any of the assets or rights of the Company.
