Affiliate Definition. As used in this Agreement, the term “affiliate,” as used with respect to a particular person or entity, shall mean any other person or entity that owns or controls, is owned or controlled by, or is under common ownership or control with, such particular person or entity.

Affiliate Definition. As used herein, the term “Affiliate” means
(a) Exxon Mobil Corporation or any parent now or hereafter of Exxon Mobil Corporation;
(b) any company or partnership in which Exxon Mobil Corporation or any such parent now or hereafter (1) owns or (2) controls, directly or indirectly, more than fifty percent (50%) of the ownership interest having the right to vote or appoint its directors or functional equivalents ("Affiliated Company");
(c) any joint venture in which Exxon Mobil Corporation or any such parent or an Affiliated Company is the operator;
(d) any entity in which (a) through (c) above or the Company have an interest; and
(e) any successor in interest to (a) through (d) above.
