MS represents and acknowledges that it owns, directly or indirectly, all of the capital stock and other equity and other ownership interests of the Company (the "Company Ownership Interests") free and clear of all Liens. MS will not permit or suffer any Lien to exist on the Company Ownership Interests and will not sell or otherwise transfer the Company Ownership Interests. MS will take or cause to be taken all actions necessary, to the extent possible, to avoid the occurrence of any Event of Default.

A. The Borough will continue its efforts to provide benefits at no cost to employee for the term of this Agreement.
B. The Borough shall continue coverage of employees and their dependents for Hospital Surgical Rider “J”, and Major Medical.
C. Upon receipt of notice of the deductible portion of the Hospital/Surgical coverage in Section B, or the same amount in out-of-pocket expenditure for office visit co-pays, the Borough shall pay to the employee and one (1) dependent annually the sum of fifty dollars ($50.00).
D. The Borough reserves the right to change insurance carriers so long as substantially similar benefits are provided.
E. Every employee shall be entitled to two (2) eye examinations in three (3) years. The Borough shall pay up to one hundred dollars ($100.00) towards an eye examination for an employee and up to two hundred twenty dollars ($220.00) for eyeglasses for any employee per contract year. Payments for eye examinations and eyeglasses for dependents as provided in the 1998- 2000 agreement shall be continued. No more than one pair of eyeglass shall be provided each year for an employee or dependant.

Aetna. There shall not have occurred any adjustment by Aetna of the type referred in Schedule 5.8 which has had or will have a Material Adverse Effect on CCS. For purposes of this Agreement, neither CCS nor PATY may rely on the failure of any condition set forth in Articles IX, X and XI to be satisfied if such failure was caused by such party’s failure to comply with or perform any of its covenants or obligations set forth in this Agreement. Notwithstanding the forgoing, if the condition set forth in Section 9.4 is not satisfied and the failure to satisfy such condition was in any way caused by either ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ or ▇▇▇▇▇▇ ▇▇▇▇▇▇ withholding their consent to a proposed transaction for any reason, the fact that such condition was not satisfied shall under no circumstances be considered a failure by PATY to comply with or perform any of its covenants or obligations set forth in this Agreement.
