Common use of Advisory or Management Contracts Clause in Contracts

Advisory or Management Contracts. Subject to approval by a Majority Shareholder Vote or, where appropriate pursuant to Section 5.11 hereof, a Series Majority Shareholder Vote, the Trust may from time to time enter into investment advisory or management contracts with one or more other Persons (the "Investment Advisers") pursuant to which the Investment Adviser or Advisers shall agree to furnish to the Trust management, investment advisory, statistical and research facilities or other services with respect to one or more Series of the Trust. Such contract shall contain such other terms and conditions, if any, as may be prescribed in the By-Laws and such further terms and conditions not inconsistent with the provisions of this Article III, the By-Laws or applicable law as the Trustees may in their discretion determine, including the grant of authority to the Investment Adviser to determine what securities shall be purchased or sold by each such Series and what portion of its assets shall be uninvested and to implement such determinations by making changes in the Series' investments.
