Common use of Advisory Agreements Clause in Contracts

Advisory Agreements. The Parties agree that, upon completion of the Securities Exchange, Valdy shall enter into five year advisory agreements with each of ▇▇▇▇▇ ▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇ in a form and substance reasonably acceptable to Valdy, INX and each of ▇▇. ▇▇▇▇▇▇ and ▇▇. ▇▇▇▇▇▇ with respect to their respective agreement, and such agreements shall provide for the issuance to ▇▇. ▇▇▇▇▇▇ and ▇▇. ▇▇▇▇▇▇, as applicable, of 500,000 immediately vesting five year options to purchase Valdy Shares at a price of $1.25 per share and 500,000 immediately vesting five year options to purchase Valdy shares at a price of $2.50 per share.
