Adviser Instructions Clause Samples

The Adviser Instructions clause defines the process by which an adviser provides directions or guidance to the parties involved in an agreement. Typically, this clause outlines the scope of instructions the adviser is authorized to give, the manner in which such instructions must be communicated (such as in writing or via email), and any limitations or conditions on following those instructions. Its core practical function is to ensure that all parties understand how and when adviser input should be acted upon, thereby reducing confusion and ensuring that the adviser's role is clearly integrated into the contractual relationship.
Adviser Instructions. The Sub-Adviser is expressly authorized to rely upon any and all instructions, approvals and notices given on behalf of the Adviser by any one or more of those persons designated as representatives of the Adviser whose names and titles are included in a secretary’s certificate, incumbency certificate, or similar document indicating that the persons designated as representatives have the authority to bind the Trust. The Adviser may amend such document by written notice to the Sub-Adviser. The Sub-Adviser shall continue to rely upon these instructions until otherwise notified by the Adviser.
