Common use of Administrative Agent and Arranger Fees Clause in Contracts

Administrative Agent and Arranger Fees. The Borrower agrees to pay to U.S. Bank the fees agreed to by U.S. Bank and the Borrower, pursuant to that certain letter agreement dated as of March 29, 2019 between U.S. Bank and the Borrower (the “Fee Letter”). Lenders and Borrower understand and agree that, except only as may otherwise be set forth in a separate side letter between U.S. Bank and any other Lender (if at all), U.S. Bank shall have no obligation to share any such fees paid to U.S. Bank pursuant to the Fee Letter with any of the other Lenders. The Borrower also agrees to pay to Xxxxx Fargo the fees agreed to by Xxxxx Fargo and the Borrower, pursuant to that certain letter agreement dated as of February 27, 2019 between Xxxxx Fargo and the Borrower (the “Xxxxx Fargo Engagement Letter”). Lenders and Borrower understand and agree that Xxxxx Fargo shall have no obligation to share any such fees paid to Xxxxx Fargo pursuant to the Xxxxx Fargo Engagement Letter with any of the other Lenders.
