Common use of Administrative Agent and Affiliates Clause in Contracts

Administrative Agent and Affiliates. With respect to its Commitment, the Advances made by it and the Notes issued to it, the Administrative Agent, in its separate capacity as a Bank, shall have the same rights and powers under this Agreement as any other Bank and may exercise the same as though it were not the Administrative Agent; and the term “Bank” or “Banks” shall, unless otherwise expressly indicated, include the Administrative Agent in its separate capacity as a Bank. The Administrative Agent, in its separate capacity as a Bank, and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, participate in Letters of Credit issued to and generally engage in any kind of business with, the Borrower, any Subsidiary and any Person which may do business with or own securities of the Borrower or any Subsidiary, all as if it were not the Administrative Agent hereunder and without any duty to account therefor to the Banks.

The Lender acting as the Administrative Agent, in its separate capacity as a Bank, Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, participate in Letters of Credit issued to accept investment banking engagements from and generally engage in any kind of business with, the Borrowerany Loan Party, any Subsidiary of any Loan Party and any Person which that may do business with or own securities of the Borrower any Loan Party or any such Subsidiary, all as if it such Lender acting as Administrative Agent were not the Administrative Agent hereunder and without any duty to account therefor to the BanksLender Parties.

With respect to its Commitment, the Advances Loans made by it and the obligations of the Borrower owed to it under this Agreement and the Notes as a Bank and with respect to any Letter of Credit issued to or participated in by it, the Administrative Agent, in its separate capacity as a Bank, Agent shall have the same rights and powers under this Agreement as any other Bank and may exercise the same as though it were not the Administrative Agent; and the term “"Bank” " or “"Banks” " shall, unless otherwise expressly indicated, include the Administrative Agent in its separate capacity as a Bankindividual capacity. The Administrative Agent, in its separate capacity as a Bank, Agent and its Affiliates may accept deposits from, lend money to, act as trustee under indentures of, participate in Letters of Credit issued to and generally engage in any kind of business with, the Borrower, any Subsidiary of its Subsidiaries and any Person which who may do business with or own securities of the Borrower or any such Subsidiary, all as if it the Administrative Agent were not the Administrative Agent hereunder and without any duty to account therefor to the Banks.

The Lender which is Administrative Agent, in its separate capacity as a Bank, Agent and its the Affiliates of such Lender may accept deposits from, lend money to, act as trustee under indentures of, participate in Letters of Credit issued to and generally engage in any kind of business with, the BorrowerCo-Borrowers, any Subsidiary of its Affiliates and any Person which who may do business with or own securities of the Borrower Co-Borrowers or any Subsidiaryof its Affiliates, all as if it such Lender were not the Administrative Agent hereunder and without any duty to account therefor to the BanksLenders.
