Common use of Adjustment to Exercise Price Clause in Contracts

Adjustment to Exercise Price. Whenever the Exercise Price is adjusted pursuant to any provision of this Section 5, the Company shall promptly mail to the Holder a notice setting forth the Exercise Price after such adjustment and setting forth a brief statement of the facts requiring such adjustment.

Whenever the Exercise Price is adjusted pursuant to any provision of this Section 54, the Company shall (1) promptly give written notice to the Warrant Agent of such adjustments; and (ii) promptly mail to the Holder a notice setting forth the Exercise Price after such adjustment and any resulting adjustment to the number of Warrant Shares and setting forth a brief statement of the facts requiring such adjustment.

Whenever the Exercise Price is adjusted pursuant to any provision of this Section 54, the Company shall promptly mail give reasonable written notice thereof to the Holder a Warrant Agent, which notice setting shall set forth the Exercise Price after such adjustment and setting set forth a brief statement of the facts requiring such adjustment. The Company agrees that it will provide the Warrant Agent with any new or amended exercise terms.

Whenever the Exercise Price is adjusted pursuant to any provision of this Section 54, the Company shall promptly mail deliver to the each Holder a notice setting forth the Exercise Price after such adjustment and setting forth a brief statement of the facts requiring such adjustment.
