Common use of Adjustment Proposals Clause in Contracts

Adjustment Proposals. All proposals for adjusting the shares of any -------------------- Participating Producer pursuant to paragraph B.5 below shall be submitted to the Special Counsel for its review prior to any consideration of the proposal by the Participating Producers. The Special Counsel shall provide a recommendation with respect to any such proposal prior to its consideration by the Participating Producers. In addition, the Special Counsel may develop its own proposals with respect to adjusting the shares of any Participating Producer pursuant to paragraph B.5. Such proposals shall be promptly considered by the Participating Producers pursuant to paragraph B.2 above and shall not require prior consideration or approval by the Board.
