Adjustment of Number of Shares Purchasable. Upon each adjustment in the Exercise Price pursuant to Paragraph 4(a) above, such number of shares of Common Stock purchasable hereunder shall be adjusted by multiplying the number of shares of Common Stock by a fraction, (i) the numerator of which shall be the Exercise Price immediately prior to such adjustment and (ii) the denominator of which shall be the Exercise Price in effect upon such adjustment.
