Common use of Adjustment of Exchange Rate Clause in Contracts

Adjustment of Exchange Rate. The Exchange Rate will be adjusted as described in this Section 4.04, except that the Company shall not make any adjustment to the Exchange Rate if Holders participate (other than in the case of a share split or share combination), at the same time and upon the same terms as holders of the Common Shares and as a result of holding the Securities, in any of the transactions described below without having to exchange their Securities, as if they held a number of Common Shares equal to the applicable Exchange Rate, multiplied by the principal amount (expressed in thousands) of Securities held by such Holder.

The Exchange Rate will be adjusted as described in this Section 4.0415.05, except that the Company Issuer shall not make any adjustment to the Exchange Rate if Holders participate (other than in the case of a share split or share combination), at the same time and upon the same terms as holders of the Common Shares Stock and as a result of holding the SecuritiesNotes, in any of the transactions described below without having to exchange their SecuritiesNotes, as if they held a number of shares of Common Shares Stock equal to the applicable Exchange Rate, multiplied by the principal amount (expressed in thousands) of Securities Notes held by such Holder.
