Adjustment and Set-Off Clause Samples
The Adjustment and Set-Off clause allows one party to modify the amounts owed under a contract by deducting any sums that the other party owes them. In practice, this means if Party A owes Party B $1,000, but Party B also owes Party A $200, Party A can pay only the net amount of $800. This clause ensures that mutual debts are efficiently reconciled, reducing the risk of overpayment and simplifying the settlement of obligations between the parties.

Each Lender agrees promptly to notify the Company and the Administrative Agent after any such setoff and application made by such Lender, provided that the failure to give such notice shall not affect the validity of such setoff and application.
