Adient Liability. Adient shall be liable for, and shall indemnify and hold harmless the ▇▇▇▇▇▇▇ Controls Group from and against any liability for, any Taxes for which Adient is responsible, or which are allocated to Adient, pursuant to this Section 2 or Section 3.
